BETA NOTICE — v1.2 BETA. During the private BETA phase the Software is not commercialized to the public; BETA keys are distributed on a controlled, free-of-charge basis to invited testers. These Terms of Sale will apply in full from the commercial v1 launch via Lemon Squeezy as Merchant of Record (planned, not yet live). Prices and payment channel may be adjusted before launch, and BETA-tester feedback may be incorporated into the final version.

These Terms of Sale (the "Terms") govern the purchase of licenses of the MONKEY MASTERING software (the "Software" or "Product") via the website https://monkeymastering.com (the "Site"), in accordance with Spanish Royal Legislative Decree 1/2007 approving the Consolidated Text of the General Law for the Protection of Consumers and Users (TRLGDCU), EU Directive 2011/83/EU on consumer rights, and EU Directive 2019/2161 (Omnibus Directive).

Invoicing and payment collection are handled by Lemon Squeezy, Inc., acting as Merchant of Record and therefore as the seller vis-à-vis the end user for tax purposes.

2. Purpose

These Terms govern: - The acquisition of a license of use of the Software (not ownership of it). - The economic, tax, and delivery conditions of that license. - Consumer rights under European and Spanish law.

The technical use of the Software is additionally governed by the End User License Agreement (EULA).

3. Product

MONKEY MASTERING is a downloadable audio plugin in VST3 and AU formats, available for macOS and Windows, designed for automatic mastering of audio tracks. The Product is offered in two editions:

Launch price (PRO). The prices above are the prices actually charged from the commercial launch. The PRO edition price is presented as a launch price; the STANDARD edition price is its ordinary price. The Licensor reserves the right to change its prices at any time. No previous, higher price is shown as a reference, because none has ever been charged; consequently this is not an announcement of a price reduction within the meaning of Art. 20.2 of Directive 2011/83/EU as amended by Directive (EU) 2019/2161 (Omnibus). Any future price increase applies only to purchases made after it takes effect and never affects licenses already acquired. Final prices and applicable taxes are shown clearly before checkout.

4. Purchase process

  1. The user selects the desired edition (Standard or Pro) and adds it to the cart.
  2. They are redirected to Lemon Squeezy, Inc. to complete payment.
  3. They enter the required tax and payment information (name, email, country, payment method). Lemon Squeezy, Inc. processes payment securely.
  4. Upon payment confirmation, the user receives by email: - The invoice issued by Lemon Squeezy, Inc.. - The license key and Software download link.
  5. The contract is concluded at the moment of payment confirmation.

All pre-contractual information required by Articles 60 and 97 TRLGDCU (features, price, taxes, right of withdrawal, warranties, duration, etc.) is presented to the user before payment is confirmed.

7.1 General information

Under Articles 102 to 108 TRLGDCU (transposing Directive 2011/83/EU), the consumer has a period of 14 calendar days from receipt of the license to withdraw from the contract without needing to justify the decision.

7.2 Exception to withdrawal (digital content)

Article 103.m) TRLGDCU and Art. 16.m) of Directive 2011/83/EU provide that the right of withdrawal DOES NOT APPLY to the supply of digital content not delivered on a tangible medium when: - Performance has begun with the prior express consent of the consumer, and - The consumer acknowledges having lost the right of withdrawal once the content has been downloaded / activated.

During the purchase process, the user must expressly check this box:

I request immediate performance of the delivery of the Software and expressly acknowledge losing the right of withdrawal once I download or activate the license.

This box is not pre-ticked, in compliance with the Omnibus Directive.

7.3 Restricted refund policy (digital product)

Because the Software is digital content delivered instantly upon purchase and its value is consumed on first productive use, and because §7.2 of these Terms constitutes an effective waiver of the 14-day statutory withdrawal right under Art. 103.m) TRLGDCU / Art. 16.m) Directive 2011/83/EU, MONKEY MASTERING operates a restricted refund policy:

Refunds are available only in the following cases:

  1. Legitimate technical failure not resolvable by support. The Software crashes, fails to activate, or is objectively incompatible with the user's documented DAW/OS combination, and reasonable troubleshooting with support staff has not resolved the issue. Request must be filed within fourteen (14) calendar days of purchase and before the license has been used to finalize a released project (defined below).
  2. Duplicate or erroneous purchase (e.g. paid twice for the same license) reported within 14 days.
  3. Any case where refund is legally compulsory under TRLGDCU or Law 11/2023 conformity rules (§8), which takes precedence over this policy.

Why this policy. The Software applies irreversible engineering work to audio material. Once a user has mastered a track with MONKEY MASTERING and released the resulting audio, the value of the license has been consumed. A post-use refund would amount to taking back the service after keeping the benefit. Spanish and EU consumer law explicitly permits waiver of the withdrawal right in this exact scenario (digital content immediately executed with express consent).

How to request a refund. Email legal@monkeymastering.com with subject "Refund request" including your order ID, license key, and a clear description of the technical issue (logs, screenshots, system specs). Responses within 5 business days. Approved refunds are processed by Lemon Squeezy, Inc. to the original payment method within 3–10 business days and the license key is revoked.

Under the TRLGDCU (Art. 114 et seq.) and Spanish Law 11/2023 (transposing Directives (EU) 2019/770 on digital content and (EU) 2019/771 on goods):

9. Technical requirements

The user must verify, before purchase, that their system meets the technical requirements published on the Site (operating system, architecture, compatible DAW host, etc.). Incompatibility with systems not listed does not constitute non-conformity.

Recommended minimum requirements (indicative): - macOS 11 (Big Sur) or later, or Windows 10 / 11 64-bit. (JUCE 8 baseline / CMAKE_OSX_DEPLOYMENT_TARGET) - DAW compatible with VST3 or AU (Audio Unit). - Internet connection during initial activation (not applicable during the BETA phase, where validation is local).

The liability of MONKEY MASTERING arising from the use of the Software is governed by the EULA. In any event, liability that cannot be excluded or limited by contract in relation to consumers under the TRLGDCU (e.g. willful misconduct, gross negligence, personal injury) is not excluded or limited.

16. Language versions

This document is published in Spanish and in other languages to make it easier to understand. The Spanish version is the only authentic one: in the event of any discrepancy between versions, the Spanish text prevails.

This preference does not deprive the consumer of the rights granted by the law of their country of habitual residence, in accordance with Article 6 of Regulation (EU) 593/2008 (Rome I).
