Creator / Affiliate Program Agreement — MONKEY MASTERING

BETA NOTICE. The Creator Program is in pilot phase during MONKEY MASTERING's private BETA. Commercial terms (commission percentage, payout thresholds, campaigns) may be adjusted before the v1 commercial launch. Any changes will be notified to Creators with at least 30 days' advance notice.

This Agreement governs the relationship between Javier J. Redondo, Spanish Tax ID 78503120A, owner of the MONKEY MASTERING brand (the "Licensor" or "MONKEY MASTERING"), and any individual or legal entity admitted as a Creator / Affiliate in the official program (the "Creator"). The Licensor's address and remaining identification details are set out in the Legal Notice.

1. Purpose

The Creator promotes MONKEY MASTERING on their own channels (YouTube, Instagram, TikTok, blog, podcast, etc.) using a unique affiliate link provided by the Licensor, in exchange for a commission on the sales generated.

2. Admission and onboarding

1. The Creator applies by email to hello@monkeymastering.com (subject: [CREATOR]) with: name / public handle, main channel(s), URL, approximate audience, type of content.
2. Admission is at the Licensor's discretion. The Licensor may accept or reject applications without stating reasons, always in compliance with anti-discrimination law.
3. Upon admission the Creator receives: (a) their unique affiliate link, (b) access to the Lemon Squeezy dashboard (once live), (c) a kit of graphic assets and messaging.

3. Commission

• Rate: 30 % of the net sales attributable to the Creator's link.
• "Net sales" = price paid by the customer minus (i) payment processor and Merchant of Record (Lemon Squeezy) fees, (ii) applicable local taxes, and (iii) refunds or chargebacks.
• Attribution is via last-click cookie with a 30-day window from the click on the Creator's link, except where the customer deletes cookies or uses blockers, in which case attribution may be lost.
• Minimum payout threshold: 50 € in accumulated commission. Below the threshold, the balance rolls over to the following month.

4. Payments

• Cadence: monthly payouts, within the first 15 days of the month following the settled calendar month, once the 14-day refund window has elapsed.
• Method: SEPA bank transfer for EU Creators, PayPal otherwise, at the Creator's election.
• The Creator is responsible for their own tax obligations (income tax, self-employment registration and indirect tax —VAT or IGIC— where applicable) on commissions received. Creators who are Spanish tax residents and registered as self-employed must invoice the Licensor with the indirect tax that applies to them.
• If the Creator fails to provide valid tax details or to comply with the above, the Licensor may withhold payouts until regularization.

5. Creator obligations

The Creator agrees to:

1. Transparency: clearly identify their content as promotional / affiliate (using tags such as #ad, #affiliate, #sponsored, or equivalent wording), in line with the EU Omnibus Directive, the Digital Services Act (DSA), and applicable hidden-advertising guidance.
2. Attribution: tag @javierjredondo (or the official handle designated) on social media when publishing content about MONKEY MASTERING.
3. Truthfulness: make no false, misleading, or exaggerated claims about the Software (performance, outcomes, comparisons with competitors). The official slogan "NOT A PLUGIN. AN ENGINEER." may be quoted verbatim but not replaced by unauthorized equivalents.
4. Appropriate content: not associate the MONKEY MASTERING brand with unlawful content, hate speech, explicit sexual content, gratuitous violence, drugs, gambling, or any content harmful to the Licensor's reputation.
5. No disparagement: not publicly or maliciously disparage MONKEY MASTERING, the Licensor, or its community. Constructive criticism and honest comparisons are welcome.
6. No spam: not distribute the link through disallowed channels (spam, mass forum injection, PBNs, etc.).
7. No self-purchase: not use their own link to purchase the Software for themselves or immediate family with the intent of earning a commission.

6. Limited trademark license

The Licensor grants the Creator a non-exclusive, revocable, non-transferable, royalty-free license to use the official logos, mockups, and assets from the program kit, exclusively to promote MONKEY MASTERING during the term of this Agreement and in accordance with the brand guidelines. Any use beyond that scope requires prior written authorization.

7. Non-exclusivity

This Agreement is non-exclusive. The Creator may promote other products, including competitors, without restriction, provided the transparency and non-disparagement obligations are met. The Licensor may admit as many Creators as it sees fit.

8. Term and termination

• This Agreement has indefinite duration.
• Either party may terminate it with 7 days' prior written notice by email, without cause.
• The Licensor may terminate with immediate effect in case of material breach (fraud, reputational damage, infringement of third-party rights, serious violation of §5 obligations).
• Commissions earned before termination will be paid in the next ordinary cycle, once refund windows have cleared.

9. Data protection

Processing of the Creator's personal data (name, email, bank / payment details, tax information) is governed by the Privacy Policy, with the legal basis being performance of this Agreement (Art. 6.1.b GDPR) and legal tax obligations (Art. 6.1.c GDPR).

10. Image rights and testimonials

If the Creator voluntarily submits written or audiovisual testimonials, they authorize the Licensor to reproduce them on its communication channels (website, social media, promotional materials) mentioning the Creator's name or handle, in accordance with Spanish Organic Law 1/1982 on the right to honor, personal and family privacy, and one's own image. The Creator may revoke this authorization in writing; the Licensor will discontinue use within a reasonable period.

11. Limitation of liability

The Licensor is not liable to the Creator for: - Tracking variations due to ad blockers, rejected cookies, or browser technical limitations. - Temporary program suspensions for maintenance or force majeure. - Lost profits arising from non-admission or termination.

12. Governing law and jurisdiction

• This Agreement is governed by Spanish law.
• For Creators acting as consumers: courts of the Creator's domicile (Art. 90.2 TRLGDCU).
• For professional / self-employed / legal-entity Creators: courts of the city of the Licensor's domicile.
• In case of discrepancy between the Spanish and English versions, the Spanish version prevails.

This document is published in Spanish and in other languages to make it easier to understand. The Spanish version is the only authentic one: in the event of any discrepancy between versions, the Spanish text prevails.

This preference does not deprive the consumer of the rights granted by the law of their country of habitual residence, in accordance with Article 6 of Regulation (EU) 593/2008 (Rome I).
